Jetstream32 for sale see attached PDF Price $1 Million LETTER OF INTENT to WET LEASE (ACMI) a company in Accra Ghana, (hereinafter referred as "the Lessee") writes this Letter of Intent on the 21st of April 2024 to True Blue The Lessee, a passenger and cargo air transport and logistics services operating company is set to promote Ghana’s image all around the world and will provide safe, efficient, and value priced consumer air travel services out of Hubs in Ghana, Angola, and in Suriname to core markets in Africa, North and South America, Asia, the Caribbeans, and beyond. It will acquire aircraft and operational licenses or certificates (AOC) for achieving the launch. This Letter of Intent is to request for the lease of three aircraft. The Lessee agrees to lease aircraft for the start of the Carrier as follows: AIRCRAFT: THREE (3) EMBRAER E190 – Two for Ghana and one for Angola (We will start in Ghana) CABIN CONFIGURATION: One E190 Dual Class Passenger Configuration with 96 Seats at 38” and 31” Pit ch; and Two E190 Single Class P assenger Configuration with 100 Seats at 32”/31” Pitch. All with available cargo AIRCRAFT SPECIFICATIONS: Aircraft specifications are as s upplied by the owner and are subject to verification upon inspection. LEASE DURATION: Twelve (12) months, with an option to extend MINIMUM GUARANTEE HOURS (MG H): Two hundred (2 00) Block hours p er Month per Aircraft BASIC ACMI RATE: Information on per block hour, plus crew hotel accommodation, per-diems, transport plus other costs to be provided. No budget is given looking best rate Basic ACMI to include: • Lease of t wo (2) EMBRAER aircraft; • One or Two Expatriate Trainer Crews plus Local staff sufficient for the operation; • Maintenance; • Hull & third-party liability insurance excluding war risk, passenger and baggage and cargo liability insurance. ACMI Rate to Exclude: • Fuel • Landing Fees • Parking Fees • Navigation Fees • Aircraft Loading / Off-loading • Passenger check-in and airport handling • Container / Pallet build-up / breakdown • Pallets / Nets / Containers • Ramp Handling • Technical Handing (Interior Clean, Steps, GPU, Pushback, Tows etc.) • Crew and passenger in-fl ight catering • Crew Visa’s / Work Permits / Airport Passes • Crew Transport • Crew positioning/de-positioning (See Crew complement) • Crew Per diems (See Terms of Payment) • Crew Accommodation; 4-star on B&B basis with laundry. Suitable to Lessor standard; no sharing, en-suite bathroom facilities • In-flight entertainment, internet, duty free sales or passenger catering • Flight Clearances, Traffic Rights and CAA authorities • Customs clearance and costs thereof of clearing Spares • Suitable on-site office fac ilities (and monthly cost thereof) for Station Manager and Technicians. • Secure Spares lock-up facility at Base of Operations • Cost of any additional crew for a dditional utilization • Royalties or Co mmissions • Airport and Go vernment Taxes, Levies, VAT, GST • Price escalation for period beyond the initial 6 months • War Risk Insurance if a pplicable • Aircraft positioning/de-positioning (ex and to Malta or equivalent) SHORT CYCLES The ACMI rate to be calculated on an average cycle ratio of 1.5:1. Short cycles may be calculated separately. BASE The lease will commence and terminate at the Lessor’s base. All positioning costs will be paid by the Lessee in advance. CREW PER DIEMS, TRANSPORT AND HOTEL ACCOMMODATION: • Per Die ms per staff/crew member will be for the Lessee’s account. • The Lessee will provide crew transportation (ground and air to and from the aircraft/hotel and duri ng crew rotations). 4-star standard hotel with laundry, wifi, single rooms and B&B is expected. • Crew will need to rotate every 6 weeks or as agreed. • The Lessee will provide accommodation for the Lessor’s crew and st aff in hotels as agreed. • Crew Per diems are to be paid in United St ates Dollars in advance. PAYMENTS OF DEPOSIT, HOURS FLOWN AND PER DIEM: Information to be provided: (i) amount of security deposit payable at the signing of the lease agreement; (ii) each month’s MGH multiplied by the ACMI rate; (iii) per diems of crew/staff- members per day; (iv) aircraft positioning and de-positioning costs payable prior to the departure of aircraft; (v) the drop-down rate per block hour; (vi) the lease payments all Via Aerotitle Escrow ONLY PAYMENTS OF DIRECT OPERATION COSTS (DOC): All Direct Operating Costs will be for the Lessee’s account. The Lessee shall arrange and pay directly for such costs. AIRCRAFT REGISTRATION: The aircraft will remain on the Lessors registration for the duration of the lease. CREW COMPLEMENT: • 4 x Captains • 3 x First Officers • 7 x Flight Attendants ( which may be substituted as a greed follo wing validation) • 2 x Technicians • 1 x Station Manager CREW ROTATIONS: Every 6 weeks / 42 days Position / de-position ex / to Lessor Base on scheduled carrier. Economy Class travel on a confirmed basis. MAINTENANCE: • All maintenance will be provided by Lessor. • All maintenance planning and requirements will be communicated on a regular basis with the Lessee. • A replacement aircraft cannot be guaranteed; however, every effort will be made to find a suitable replacement. ROUTES: will operate out of two global hubs to reach global destinations world-wide, handling flights to Eastern and Central Africa, the Far East, South America, and Asia. The Airline will operate more than 300 long-haul, regional and domestic weekly flights. Within the African continent, where the Embraer Aircraft will be used, we would provide services to all the capital cities of countries in Africa and assume the role of the “Linking Airline” of Africa. More and larger aircraft will be added to reach our goals and t he vision after the initial lease. This Letter of Intent is made, subject to: 1. Government approvals, Traffic Rights and Necessary Flight Clearances; 2. Aircraft Availability; 3. Satisfactory reciprocal evaluations by Lessee and Lessor, including AOC, AMO, licenses and certificates, the aircraft, crew facilities; 4. Operations in terms of the Lessors approved flight and duty regulations; 5. All cargo to be carried in terms of IATA Dangerous Goods procedures; 6. The safety and security of our crew and aircraft being acceptable to the Lessor; 7. Payments being made on time, including the Security Deposit, monthly lease and crew per diems. # apoi /swissb
