LETTER OF INTENT redacted For the Acquisition of Used Passenger Aircraft This Letter of Intent ("LOI") serves to express the serious interest of the Buyer acquiring Five (5) used Boeing 737-300 passenger aircrafts Aircraft Type: Boeing 737-300 Purpose of Use: Commercial Passenger Transport Quantity: Five (5) Aircraft Manufacturing Years: 1998 and 1999 Condition: Used Transaction Structure: Direct Purchase or Lease-to-Purchase (subject to mutual agreement) Preferred Delivery: As Soon As Possible Proposed Terms The Buyer intends to negotiate in good faith with ……..regarding the acquisition of the above- mentioned aircrafts. The proposed transaction shall include, but not be limited to, the following conditions: 1. Verification of aircrafts ownership and legal Role. 2. Review of complete aircrafts records, including maintenance logs, airworthiness status, and operational history. 3. Satisfactory technical inspection and pre-purchase evaluation by representatives appointed by the Buyer. 4. Agreement on the purchase price or lease-to-purchase structure, payment schedule, and delivery conditions. 5. Compliance with all applicable aviation regulation and export/import requirements. 6. Execution of a definitive Purchase Agreement or Lease-to-Purchase Agreement acceptable to both parties.
