Please find below an offer for the 2 x B777-200ER Price: Buyer shall pay to Seller US $ 17,000,000.00 (Seventeen Million United States Dollars) each aircraft , for the Aircraft in total (the "Purchase Price"). The Purchase Price relating to the Aircraft shall be paid to the Seller without any withholdings or deductions or any taxes. Following receipt by the Seller of the Purchase Price, Seller shall deliver to Buyer a Bill of Sale and transfer all right, title and interest in and to the Aircraft to the Buyer, subject to inspection of documentation and physical inspection of the assets Delivery Conditions: Aircraft will be delivered with the following conditions – subject to agreement: Return To Service Complete Fresh C Check Landing Gear Overhaul Valid Export Certificate of Airworthiness for Export (”CofA”). Transaction: The Transaction is to be structured in a tax neutral location of Ireland and via back-to-back transaction through escrow. ESCROW: The “Escrow Agent” will act as escrow agent to Seller and Purchaser. All relations with and services of the Escrow Agent in regard to the Transaction shall be regulated by a tripartite escrow agreement between the Escrow Agent, the Seller and the Purchaser (the “Escrow Agreement”). The Escrow Agreement, inter alia, shall provide that the Escrow Agent will promptly confirm to the Seller and the Purchaser the receipt of the Deposit and the Purchase Price Balance in the Escrow Account. The fees of the Escrow Agent shall be borne by the Purchaser. Conditions: The Aircraft will be offered for sale in an “as is, where is” condition with full warranties from all OEM’s from Seller where applicable, save the Delivery Condition as stated above. Prior to the Delivery, Buyer has the right to inspect the Aircraft (including the engines and APU borescope) and all technical records. Purchase On signing of LOI, Buyer will do initial inspection after LOI, KYC, POF and deposit payment of 10% into escrow #opa/lsm
