Draft Escrow Procedure and Payment Milestones The following items are already outlined in the LOI: The proposed escrow company is AEROtitle. Initial deposit amount: USD 500,000. Upon receipt of the deposit, the engine will be withdrawn from the market. Buyer inspection period: 10 business days. Purchase Price: USD 35,500,000. All payments are to be processed through the escrow structure. 3. Deposit, Release, Refund and Termination Conditions The LOI also specifies the conditions under which the deposit shall be refunded, including: Buyer rejects the engine following inspection. Either party fails to provide the required confirmation. The engine fails the test cell run. The engine suffers damage or total loss prior to delivery. No mutually acceptable resolution is reached following inspection findings. 4. Physical Inspection and Technical Verification Process As stated in the LOI, the Buyer’s technical inspection includes: Review of available records and documentation. General visual inspection. Full video borescope inspection. Inventory verification of external parts and components. 6. Records and Documents Available for Review The LOI clearly states that the transaction includes: “All available documents, data and records in possession of the Seller.” 7. Buyer and Seller Obligations The LOI also establishes the key responsibilities of both parties, including: Buyer to submit the required deposit. Seller to remove the engine from the market upon deposit receipt. Seller to make the engine and available records accessible for inspection. Buyer to complete inspection and provide acceptance/rejection notice. Both parties to complete documentation, KYC and compliance requirements. Information to Be Provided Following Executed LOI 1. Escrow Agent Details The detailed information regarding the proposed escrow agent will be provided immediately following execution of the LOI, including: Full legal name of the escrow company; Jurisdiction of incorporation and operation; Escrow licensing and credentials; Corporate website and contact details; Detailed escrow procedures and transaction workflow. 5. Engine Location and Inspection Schedule The engine location and inspection arrangements will be disclosed after execution of the LOI. This will include: Current engine location; Inspection facility details; Proposed inspection schedule; Access procedures for physical inspection and records review. Annexure-01 (QEC, Accessories and Open Items List) As already stated in the LOI, the engine is offered: “including QEC other than nose cowl and exhaust.” The detailed Annexure-01 listing all available QEC items, accessories and open-list items will be provided after execution of the LOI and commencement of the formal due diligence process.
